Change the Registered Office Address of a Federal Corporation
Corporation Key is required.If the registered office of a corporation changes, Corporations Canada must be notified within 15 days of the change, under subsection 19(4) of the CBCA.
CAUTION! If the Province or Territory of the registered office is changing, Articles of Amendment (Form 4) must be filed.
Step 1 – Contact Information
Provide the name, email address and phone number of the individual completing the change application. The confirmation documents will be sent to this email address. This information will not be published on Corporations Canada website. Public disclosure of any information that is required to be sent under the Canada Business Corporations Act is permitted under the Privacy Act.
Step 2 – Federal Corporation details
Centro Legal Works Inc. is a registered intermediary with Corporations Canada, however, the Corporation Key is required to access the corporate records in order to submit the changes for the registered office.
Step 3 – New Registered office address
The registered office address must be a street address. P.O. box is not acceptable. If the registered office address changes to another Province or Territory, Articles of Amendment must be filed. **CAUTION! If the Province or Territory of the registered office is changing, Articles of Amendment (Form 4) must be filed.
Step 4 – Annual Return reminder notices to a different address
Enter a different mailing address, if you would like the annual return reminder notices and other general correspondence from Corporations Canada to be sent to a different address.
Step 5 – Declaration
This application form may be submitted and the draft form can be signed by any individual who has the relevant knowledge of the corporation and who is authorized by the directors (subsection 262.1(2) of the CBCA).
For example:
- a director of the corporation;
- an officer of the corporation; or
- an authorized agent.
