Individuals with significant control (ISC)

New! As of January 22, 2024, federal corporations incorporated under the Canada Business Corporations Act (CBCA) must file information on individuals with significant control. (ISC).

They must be filed:

  • at the same time as their annual return
  • within 15 days of any change made in their ISC register
  • upon incorporation
  • after amalgamation
  • after continuance (import) to the CBCA.
Extra-Provincially Register a Federal Corporation in Ontario

If a Federal corporation commences business in Ontario, an Extra-Provincial Corporation Initial Notice filing will be required within 60 days after they commence business in Ontario.

Articles of Amendment

Complete our online application to make  changes to a Federal Corporation.  Use this application to make changes to the following:

  • Province or territory of the registered office
  • The minimum and maximum number of directors
  • The name of the Corporation
  • Other changes – share classes, restrictions on transfer, restrictions on business, or any other provisions set out in the articles.

Change of Registered Office Address

If the registered office of a corporation changes, Corporations Canada must be notified within 15 days of the change, under subsection 19(4) of the CBCA.

Annual Returns

An Annual Return (Form 22) and the required fee must be submitted by corporations. The deadline for filing the Annual Return is 60 days after the corporation’s anniversary date. This date is either when the corporation was established or when it became subject to the CBCA.

Dissolve a Federal Corporation

Dissolve a Federal Corporation when it has no property or liabilities.  Complete the articles of dissolution application online and receive the certificate of dissolution.
